Terms and Conditions
§ 1 General
The following terms and conditions (AGB) are part of all contracts with Next Level Radio Ltd. and shall apply exclusively. Sales and Delivery is only on the following conditions. Deviations from this agreement shall be effective only if agreed in written form. The terms and conditions apply to the current and future business.
§ 2 Offers and conclusion of Contract
A contract is only concluded when the Next Level Radio Ltd. confirmed an order or order confirmation in written form, or if the customer signed a proposal and send it back in writing. If orders are placed electronically, a confirmation of receipt is only a proposal, if this is explicitly explained by the confirmation of receipt. A confirmation of receipt itself is not an order confirmation.We retain ownership on images, source code, calculations and other documents, as long as nothing else is agreed.
§ 3 Approval and cancellation of the contract
If the customer withdraws from the contract or the customer does not accept the product or only partially, then he is in default of acceptance. In case of default in acceptance the Next Level Radio Ltd is. entitled to insist on fullfillment of the contract or is able to claim damages for non-performance. For the compensation of the damages the Next Level Radio Ltd. can request 50% on top of the agreed price.
§ 4 Advertising for the monetization of apps
To generate revenue for the radio stations with the apps, Next Level Radio Ltd. closes advertising contracts with premium advertisers and networks and integrates advertising in various formats into the apps. Next Level Radio Ltd.. is the exclusive ad seller of the apps. The customer receives 60% of the obtained ad revenue, unless otherwise contractually agreed. Next Level Radio Ltd.. retains 40% of the advertising revenue as revenue share. The customer will receive a monthly report of the advertising revenue. The Customer can then write an Invoice to Next Next level Radio and will receive a payment within 30 days after the advertiser has paid the campaigns to Next Level Radio.
§ 6 Warranty
The customer is obliged to check the delivered product / services immediately for bugs. Any obvious bugs must immediately be reported within one week after the receipt of the product / services.
§ 7 Payment and delay
VAT is not included in our prices and is shown separately in the invoice. Unless otherwise agreed in writing, payment occurs directly after the order is placed. If the customer is in delay with the payment, Next Level Radio Ltd. has the right to block access after a time limit of 14 days from the invoice date, until full receipt of the outstanding amount.
§ 8 Conditional sale
All the delivered goods / licenses/ services Next Level Radio Ltd. will remain in the property of the Next Level Radio Ltd. until the customer has paid all oustanding debits to the Next Level Radio Ltd., regardless of the legal reason.
§ 9 Data Security
The customer will release the Next Level Radio Ltd. from all third party claims regarding the data submitted. As long as data will be sent to the Next Level Radio Ltd. - in any form, the client will make backups. In case of data loss, the customer is obliged to sent the data again to the Next Level Radio Ltd. free of charge.
§ 10 Disclaimer
The customer is responsible for the content of their websites or content of social networks, which are integrated into the app. By placing the order, the customer ensures not to publish any content that attract public offense, represent political extremist positions, disparage persons or otherwise violate the law. The customer indemnifies Next Level Radio Ltd. from all liability and claims of third parties.
§ 11 Statistics
Next Level Radio Ltd. provides customers access to a live system statistics tool. There the customer can use the apps, installations and technical details such as Mobile platforms follow.
§ 12 Updates
Changes of Stream URLS, Logos and background graphics are free of charge. For other changes in the apps which require an App Store upload an upgrade fee of 190 Eur per App is charged, + the work for the changes in the apps if requested by the customer.

§ 14 Termination
In case of termination, there is a notice period of 6 months.
§ 15 Final provisions and jurisdiction
Jurisdiction is Stuttgart. If any settlements of these terms and conditions do not comply with the legal provisions, legal provisions come into effect. The regulations which are not effected remain uneffected.
